📜 Terms of Service – INCITYSTYLE

These Terms of Service (“Terms”) govern all transactions conducted with INCITYSTYLE through www.dresoulwholesale.com. By placing an order, the buyer agrees to be legally bound by these Terms.

1. Nature of Transaction (B2B Only)

All transactions are conducted strictly on a Business-to-Business (B2B) basis. The buyer confirms that purchases are made for commercial or resale purposes only. Accordingly, consumer protection laws shall not apply to any transaction.

2. Order Confirmation & Finality

All orders shall be deemed final, confirmed, and irrevocable once confirmation occurs through any of the following:

  • Successful payment
  • Acceptance of invoice
  • Written, electronic, or digital approval

No modification, cancellation, or withdrawal is permitted after confirmation.

3. Pricing & Payments

  • All prices are exclusive of applicable taxes, duties, shipping, logistics, and other statutory charges, unless explicitly stated otherwise.
  • INCITYSTYLE reserves the right to demand advance or full payment, particularly for bulk or high-value orders.
  • Orders shall not be processed or dispatched until payment is fully realized.

4. Dispatch, Delivery & Risk Transfer

  • Risk and title to the goods transfer to the buyer upon dispatch from our premises.
  • Dispatch videos, packing photographs, or shipment proofs generated by INCITYSTYLE shall be considered conclusive and binding evidence of correct dispatch.
  • INCITYSTYLE shall not be liable for transit delays, losses, or damages once goods are handed over to the logistics partner.

5. Return, Exchange & Cancellation Policy

  • All sales are final.
  • No cancellations, returns, or refunds are permitted under any circumstances.

Exceptions apply only in cases of:

  • Manufacturing defects
  • Incorrect supply of goods

Such issues must be reported within 48 hours of delivery and are subject to verification.

6. Mandatory Unboxing Video Clause

A clear, continuous, and unedited unboxing video is mandatory for any claim. The video must be recorded from the moment of opening the sealed package.

❗ Claims submitted without an unboxing video shall be rejected outright without review.

7. Resolution of Approved Claims

If a claim is approved:

  • Resolution shall be provided only by replacement or issuance of a credit note.
  • Cash refunds are strictly not permitted under any circumstances.

8. Limitation of Liability

INCITYSTYLE’s liability, if any, shall be strictly limited to the invoice value of the affected goods only. Under no circumstances shall INCITYSTYLE be liable for indirect, consequential, or commercial losses.

9. Intellectual Property Rights

All product designs, images, catalogues, content, branding, and intellectual material are the exclusive intellectual property of INCITYSTYLE. Unauthorized copying, reproduction, or commercial use is strictly prohibited.

10. Governing Law, Arbitration & Jurisdiction (India – Domestic Buyers)

  • These Terms shall be governed by the laws of India.
  • All disputes shall be resolved by arbitration under the Arbitration and Conciliation Act, 1996.
  • A sole arbitrator shall be appointed exclusively by INCITYSTYLE.
  • Seat and venue of arbitration: Surat, Gujarat, India.
  • Courts at Surat shall have exclusive jurisdiction.

11. Export / International Buyers – Arbitration Clause

For international or export transactions:

  • Disputes shall be resolved by arbitration under the ICC Rules.
  • Seat of arbitration: Surat, Gujarat, India.
  • Language: English.
  • The arbitral award shall be final, binding, and enforceable.

12. Amendments & Modifications

INCITYSTYLE reserves the absolute right to amend, modify, or update these Terms at any time without prior notice. The latest version published on www.dresoulwholesale.com shall prevail.
